ADVERTISING AGREEMENT & INSERTION ORDER

On www.ScubaBoard.com a wholly owned property of InterMedia Publications Inc., Altamonte Springs, FL USA.

RIGHT TO REFUSE UNACCEPTABLE ADVERTISING: ScubaBoard.Com reserves the right to refuse any advertisement or sponsorship banner that does not completely conform to all guidelines and ad specifications. ScubaBoard.Com reserves the right to refuse any advertisement graphic that does not arrive three (3) business days before the Advertiser would like the banner to appear online. ScubaBoard.Com may, at its sole discretion, refuse the use of any advertising that it deems inappropriate or cancel any campaign in progress should it be determined to be inappropriate..

INDEMNIFICATION FOR LIABILITY & STATEMENT VALIDITY: Advertiser is solely responsible for any legal liability arising out of or relating to (1) the Advertisement, and/or (2) any material to which users can link through the Advertisement. Advertiser represents and warrants that the Advertisement and Link comply with ScubaBoard.Com advertising standards; that it holds the necessary rights to permit the use of the Advertisement and Link by ScubaBoard.Com for the purpose of this Agreement; and that the use, reproduction, distribution, or transmission of the Advertisement will not violate any criminal laws or any rights of any third parties, including, but not limited to, such violations as infringement or misappropriation of any copyright, patent, trademark, trade secret, music, image, or other proprietary or property right, false advertising, unfair competition, defamation, invasion of privacy or rights of celebrity, violation of any anti discrimination law or regulation, or any other right of any person or entity. Advertiser agrees to indemnify and hold ScubaBoard.Com harmless from any and all liability, loss, damages, claims, or causes of action, including reasonable legal fees and expenses that may be incurred by ScubaBoard.Com, arising out of or related to Advertiser's breach of any of the foregoing representations and warranties. Advertiser further agrees to pay all legal fees and costs incurred by ScubaBoard.Com in defense of any such claim or action.

LIMITATION ON DAMAGES: In no event will ScubaBoard.Com be liable to advertiser for any damages, whether special, incidental, consequential, or otherwise, whether based on breach of contract, tort (including negligence), or otherwise, and whether or not ScubaBoard.com has been advised of the possibility of such damage.  ScubaBoard.Com shall not be subject to any liability whatsoever for any failure to provide reference or access to all or any part of the advertising due to systems failure, technological failure of ScubaBoard.Com or the web, or any other cause beyond our control. ScubaBoard.Com will not be responsible for harm due to unauthorized use of your advertisements as presented on the service by third parties, including without limitation, unauthorized reproduction and tampering by network "hackers."

ASSIGNMENT: Advertiser may not assign this agreement, in whole or in part, without ScubaBoard’s written consent. Any assignment of this Agreement without such consent will be unenforceable, null, and void.

GOVERNING LAW: This Agreement will be governed by, construed, and interpreted in accordance with the laws of the State of Florida.

ABILITY TO ENTER INTO AGREEMENT: By signing this agreement, Advertiser warrants that Advertiser is at least 18 years of age, and that there is no legal reason that Advertiser cannot enter into a binding contract.

PAYMENT: Monies due pursuant hereto must be paid before advertising commences. ScubaBoard.Com may charge late payments interest at 15% per annum commencing from the date of initial insertion. Reasonable attorney fees and collection costs at the maximum allowable by law will be payable by the client if the account is delinquent. Payments will first be applied to interest, attorney fees, and then finally to the principal amounts due. Orders for advertising shall be non-cancelable after 30 days prior to the first date on which it is scheduled to appear within ScubaBoard.Com and through the advertising period agreed to pursuant to the insertion order.

Ads: The Advertiser alone is solely responsible for the creation and transmission of their ads. Please send them to Ads@ScubaBoard.com for approval and publication.
